This Subcontractor Agreement (“Agreement”) is entered into between Grays Maintenance Group Ltd (“Contractor”) and the applicant (“Subcontractor”).

Recitals

WHEREAS, the Contractor (Grays Maintenance Group Ltd) is in the business of providing property maintenance services and desires to engage the Subcontractor to complete jobs on its behalf;

1. Scope of Work

The Subcontractor agrees to perform the following work (“Work”) for the Contractor under this Agreement:

• Main Duties: The Subcontractor’s primary duties will be to attend qualified approved jobs on behalf of the Contractor.
• Remuneration: Payment within 30 days of invoice. For payments under £1,000 the Subcontractor supplies materials. For jobs over £1,000, 50% upfront.

2. Duration of Work

The Subcontractor will commence Work on onboarding and continue indefinitely unless terminated per this Agreement.

Grays does not guarantee job volume or remuneration. CIS deducted at 20% (30% if not CIS registered).

3. Compensation

• Lite Plan Fee: £10 per month, charged via Stripe. Existing free Lite members signed up before April 2026 retain their free membership.
• Payment Terms: Subscription billed monthly in advance. Cancel anytime — no refunds for the current month.

4. Insurance Requirements

The Subcontractor must maintain public liability insurance with minimum £5 million coverage and provide proof before commencing Work.

5. ID and DBS Check

• Valid Identification: The Subcontractor must provide valid photographic identification.
• DBS Check: The Subcontractor agrees to undergo and pass a DBS check as part of the screening process.

6. Independent Contractor Relationship

The Subcontractor is an independent contractor. Nothing in this Agreement creates an employer-employee relationship.

7. Obligations of the Subcontractor

• Provide all necessary labour, materials, equipment, and services.
• Comply with all applicable laws, including the Health and Safety at Work Act 1974.
• Maintain proper insurance as required by law.

8. Confidentiality

The Subcontractor agrees to maintain the confidentiality of any confidential information provided by the Contractor or Client.

9. Termination

Either party may terminate upon 14 days’ written notice. No membership fees to return for Lite Plan.

10. Indemnity

The Subcontractor agrees to indemnify and hold harmless the Contractor from claims arising from negligence.

11. Dispute Resolution

Disputes will first be resolved through mediation. Legal proceedings take place in England.

12. Governing Law

This Agreement is governed by the laws of England and Wales.

13. Miscellaneous

• Entire Agreement: This constitutes the entire agreement between the parties.
• Amendments: Must be in writing and signed by both parties.
• Severability: Invalid provisions do not affect the remainder.

14. Non-Poaching

• During the term and 6 months after, the Subcontractor will not solicit the Contractor’s employees, subcontractors, or clients.
• Breach incurs liquidated damages of £10,000 per breach.
